Who we are

Dissemi is a live tutoring marketplace that connects Students with Tutors for real-time, one-to-one video Sessions. Dissemi is operated by Dissemi [legal entity — to be formed] ("Dissemi", "we", "us"). These Terms apply to you when you use Dissemi as a Tutor. By signing in to the tutor side or using Dissemi as a Tutor, you agree to these Terms and to our Privacy Policy for Tutors.

Who can use Dissemi as a Tutor

You must be 18 or older. We do not verify age today, so by signing up you confirm that you are at least 18. If we learn that someone is under 18, we may close their Account.

Your Account and Tutor Profile

You sign up once and get one Account. An Account has a separate Student Profile and a separate Tutor Profile. Your Tutor Profile has its own Stars and its own Standing, and neither carries over from your Student Profile. If you also use Dissemi as a Student, you accept the Student documents separately. These Terms cover only your Tutor Profile. You are responsible for keeping your sign-in details safe and for what happens under your Account. If we suspend an Account, the Suspension applies to the whole Account, both Profiles included.

Your Tutor Profile and Teaching Areas

During onboarding you build your Tutor Profile: your name, photo and bio, and your Teaching Areas. Each Teaching Area is one subject with the levels and languages you teach it at. A Request reaches you only if one of your Teaching Areas covers its subject, level and language together. Students can see your Tutor Profile: your name, photo, bio, Teaching Areas and Stars. Keep it accurate, and only list what you can teach well.

Availability and offers

When you choose "I'm available", you join the list of Tutors Dissemi can offer Requests to. While you are available, the tutor page contacts Dissemi regularly to show that you are still there, and if it stops, you are treated as offline. Dissemi offers a Request to one eligible Tutor at a time. Each offer expires after a short time, shown on the offer. You can accept or decline it. If you decline, you will not be offered that Request again. If the offer expires, you may be offered it again later. Accepting an offer is a commitment to join the Call. While you are in a Session you are marked busy, so you are not offered another one.

Payouts

Each offer shows the amount you will be paid if you accept it. While a Student keeps waiting, the amount offered can rise, so the amount shown on the offer you accept is the amount that applies. While we are testing, payouts are manual PayPal transfers, made weekly on Sunday for the Sessions you completed. We may change how and when payouts are made, with notice in the product. Before we pay you, we may ask for payout details and for tax information, such as a W-9. We may hold a payment until we have them.

Independent contractor

You are an independent contractor, not an employee, partner or agent of Dissemi. You choose when you are available and which offers you accept. You are responsible for your own taxes and for any equipment, internet connection and expenses you need to teach. Nothing in these Terms creates an employment relationship.

Sessions

A Session is a live, one-to-one Call between a Student and a Tutor. A Session begins when you accept the Request, and it stays live until the Student ends it. You can leave the Call, but only the Student ends the Session. A Student can chat with you during the Session. Be on time, prepared and professional.

Conduct

Be respectful and honest. Do not harass anyone, share unlawful content, misuse the Call, or try to take Sessions or payments outside Dissemi, including by asking a Student to pay you directly. Do not share Attachments or chat messages that you do not have the right to share. Do not use what a Student shares with you for any purpose other than the Session. We may remove content, and we may suspend an Account for misconduct. You can write to us to ask us to review a Suspension.

Stars and Standing

After each Session, the Student and the Tutor rate each other. Ratings are mutual and required. They feed Stars, the average of the ratings your Tutor Profile has received, and Standing, a score that sets matching priority. Standing can affect how soon Dissemi offers you Requests. Your Stars also affect your offers: Dissemi offers a Request first to the eligible Tutor with the highest Stars, and may set a minimum Stars to receive offers. Students see your Stars. We may adjust how Stars and Standing are calculated.

No recording

Dissemi does not record Sessions, neither the video nor the audio. Please do not record them yourself either, unless the other person has agreed.

Disclaimers and limitation of liability

We do not guarantee that you will receive any number of offers or Sessions or any amount of earnings. Dissemi is provided "as is". To the fullest extent the law allows, Dissemi is not liable for indirect or consequential losses, and our total liability for any claim is limited to the amount Dissemi paid you in the three months before the claim. Some places do not allow these limits, so they may not apply to you.

Changes to these Terms

We may update these Terms or the Privacy Policy for Tutors. Each version is identified by its effective date. When we publish a new version, you must accept it again before you continue to use Dissemi as a Tutor. We never interrupt a live Call to ask.

Governing law

These Terms are governed by the laws of the State of Illinois and applicable US federal law. [Counsel may move this to Delaware on incorporation.]
